WEB DESIGN PROJECT’S PROCESS
1.Connecticut Web Designer, LLC, referred to here as "Design Firm", will perform web development work for the individual or corporation named above, referred to in this document as "Client."
2.Work will be carried out by Design Firm as requested by Client and billed on stages basis as stipulated below.
3.The agreed price offered to Client is $950.00 for 3 pages due upon signing of this Agreement, before work begins.
4.The cost for each extra page is $200.00 per page. (Description of a page: a page is defined as the content that will fit into one page of a Microsoft word document, written with the font Arial, font size 10 for text. If the content: text, graphic, photos or whatever the content is, exceeds one page, a second page fee will be charged.
5.Design Firm will provide web hosting for the above-named Client web site.
ARRANGEMENTS
Stage 1
MEETING WITH CLIENT
We’ll be asking questions to learn about Client’s business. We will be exploring Client’s needs, desires, wishes and discuss the various possibilities we can offer. We will decide on a procedure regarding the website development. A Sketch of the Website layout will be made and agreed by Client so Design Firm will be ready to start Stage 2.
Stage 2
TEMPLATE APPROVAL
Design Firm will show Client several templates ideas to choose from. After the choice is made by Client, Design Firm will develop the website with the selected template and the selected page layout. When finished, Client will receive a template approval document asking him/her to thoroughly review the selected Template / Templates and agree that the design(s) for the “common” page elements (masthead, navigation bar, footer, page layout and color scheme) is/are complete and approved. No content will be added at Stage 2.
Any changes required after this point by Client will incur additional charges.
As of the date of this agreement, hourly fees are as follows: $60 /hour. Hourly rate is subject to change with 30 days written notice.
Stage 3
TEXT APPROVAL
Text content will be provided by Client as final drafts ready for publication and in digital form. Design firm will display it in the website. Client will receive a Text approval document asking him/her to thoroughly review the Text and links insertion and agree.
Any changes required after this point by Client will incur additional charges.
As of the date of this agreement, hourly fees are as follows: $60 /hour. Hourly rate is subject to change with 30 days written notice.
Stage 4
GRAPHIC / PHOTOS, VIDEO APPROVAL
Graphic, Photos, Video content will be provided by Client in an orderly manner and clearly labeled as to desired use on site. Design Firm will insert the graphics / photos / Video provided by Client together with their corresponding Text. Client will receive a Text – Graphic – Photos – Video approval document asking him/her to review it thoroughly.
Any changes required after this point by Client will incur additional charges.
As of the date of this agreement, hourly fees are as follows: $60 /hour. Hourly rate is subject to change with 30 days written notice.
PAYMENT ARRANGEMENTS
Stage 1
oFirst payment due ($950) upon signing this Agreement, before work begins.
oClient will complete our recurring billing Credit Card Authorization form to authorize Design Firm purchasing Monthly hosting fee ($23.95 per month). Client has the option to terminate the hosting when desired. Design Firm require one month advanced written notice.
Stage 2
oClient understands that the second installment payment is now due and that an invoice will be forthcoming.
oA second payment of 1/3 of the remaining estimated total (adjusted for changes in estimate if necessary) is due when page templates (without added content) are complete and approved. Stage 3 will start only after receiving payment due for Stage 1 and 2.
Stage 3
oClient understands that the third installment payment is now due and that an invoice will be forthcoming.
oA third payment of 1/3 of the remaining estimated total (adjusted for changes in estimate if necessary) is due when page templates are complete and approved. Stage 4 will start only after receiving payment due for Stage 1, 2 and 3.
Stage 4
oClient understands that a fourth and last payment is now due and that an invoice will be forthcoming. If Client uses services provided by independent contractors (photograph, video maker, and text writer) payment should be provided immediately after completion of their services.
oA fourth and final payment that correspond to the remaining total website cost (adjusted again for changes in estimate if necessary, 2 changes included in the price) is now due upon completion of Stage 4 as specified and prior to internet publication.
FOR CLIENT’S CONVENIENCE:
Design Firm has the following services available: SEO (Search Engine Optimization), custom designed graphics, Logos, stationeries, professional photos, video and professionally written text. Additional cost will apply for these extra mentioned services.
If Client uses services provided by independent contractors (photograph, video maker, text writer etc.) payment should be provided immediately after completion of their services.
Client is required to provide the necessary information to Design Firm like documents, text, graphics, photos, videos in a reasonable time frame. If the production process takes longer than 60 days, billing will switch to semi-monthly and will be based on hours expended, while still honoring this estimate, with invoices sent mid-month and at month's end.
In the event of the cancellation of this assignment, or any delay of more than 90 days, Design Firm will invoice for all work completed up to the date of notification, based upon the percentage of the project completed, including expenses; and this contract shall be considered fulfilled by Design Firm. All incomplete work will remain the property of Design Firm. All payments already made will first be applied to these charges.
LEGAL AGREEMENTS
1.Design Firm will maintain the confidentiality of Client’s source materials, technical and marketing plans and all other sensitive information.
2.Design Firm may use qualified subcontractors under our supervision for any or all work on this project.
3. Design Firm and Client agree that any dispute arising out of this Agreement shall first be resolved by mediation, if possible.This contract was entered in Connecticut, USA and any necessary arbitration or litigation will take place in this state and country.
4.Copyright to existing web documents held by other parties shall not be changed, even though altered by Design Firm, unless by specific agreement.
5.Upon full payment of all invoices due, copyright to page designs produced by Design Firm for Client shall belong to Client. Secondary materials created by Design Firm during production, including drafts, plans, graphic source files, and templates, remain the sole property of Design Firm unless other arrangements are made.
6.Client is solely responsible for the editorial content of the material included on its website. Accordingly, Client agrees that it will defend and indemnify (hold harmless) Design Firm from any suit, demand, or claim resulting from the editorial content of the website.
7.Client represents to Design Firm and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Design Firm for inclusion in Client’s web site are owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend Design Firm and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.
8.To maintain our portfolio credentials, and the integrity of any applicable copyrights, Design Firm shall be entitled to place an unobtrusive credit with a hypertext link ("Web Site Design by www.connecticutwebdesigner.com") in the footer on each page of the web site. Design Firm is also entitled to reproduce samples of Client’s web site or display Client website in our portfolio and in any marketing materials.
9.Design Firm will not be liable to Client or to any third party for any damages arising from use of web site.
10.If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
11. Hosting Fee: your account will renew automatically for your convenience in a month time unless otherwise specified.
